DESCRIPTION

Sustainability, corporate social responsibility (CSR) and other environmental, social and governance (ESG) matters become increasingly important in M&A transactions, as well as to the strategy and operations of companies in general. As this trend continues to increase in the next years, companies will need to put a greater focus on issues such as human rights, labour standards, resource management, consumer and product safety, as well as anticorruption policies. Sustainability needs to be strongly embedded in their corporate governance practices and decision-making processes. In M&A transactions on the other hand, sustainability plays an important role not only in the risk assessment and due diligence of the target, but can affect the financing and deal structure as a whole. 

The joint session of the Corporate and M&A, International Business Law and In-house Counsel commissions aims to examine the impact and implications of sustainability in relation to companies and M&A deals.

The two panels of the session will feature a number of speakers from different countries and with diverse backgrounds.
